TERMS & CONDITIONS

1. Definitions

  • “Company,” “We,” “Us,” or “Our” refers to Liquorem FZE.
  • “Client,” “Buyer,” or “You” refers to the business entity purchasing Products from Liquorem FZE.
  • “Products” refers to alcoholic beverages and related goods offered for sale by Liquorem FZE.
  • “Agreement” refers to these Terms and Conditions, together with any additional contract documents.

2. Application of Terms

These Terms apply to all quotations, offers, sales, and deliveries of Products made by Liquorem FZE to the Client, unless otherwise agreed in writing.

By placing an order with us, you confirm that you:

  • Are a legal entity duly registered under the applicable laws.
  • Hold all necessary licenses and permits to purchase, distribute, and/or sell alcoholic beverages in your jurisdiction.
  • Intend to use the Products solely for commercial purposes, not for personal consumption.

3. Compliance with UAE Laws

Both Liquorem FZE and the Client undertake to comply with:

  • UAE Federal Law No. 15 of 2020 regulating the sale and purchase of alcoholic beverages.
  • Local Emirate regulations regarding the licensing, transportation, storage, and sale of alcohol.
  • E-commerce laws and Data Protection Laws where applicable.
  • All anti-money laundering (AML) and anti-bribery regulations in force in the UAE.

Clients must provide a valid and current Alcohol Trading License or Alcohol Serving Permit as a condition of sale.

Liquorem FZE reserves the right to verify licenses and reject any order from a Client that fails to comply.

4. Orders and Acceptance

4.1 Quotations:
Quotations are valid for [Insert Number] days unless otherwise stated. Prices are subject to change without notice prior to acceptance.

4.2 Orders:
Orders placed by the Client constitute an offer to purchase under these Terms. Orders are subject to written confirmation of acceptance by Liquorem FZE.

4.3 Minimum Order Quantities (MOQ):
Liquorem FZE may impose minimum order quantities. Details are available in our commercial agreements or upon request.

5. Pricing and Payment Terms

5.1 Pricing:
All prices are exclusive of VAT, customs duties, excise taxes, and delivery charges unless expressly stated otherwise.

5.2 Payment Terms:

  • Payment shall be made within 30 days from the date of invoice unless agreed otherwise in writing.
  • Liquorem FZE reserves the right to require advance payment or security at its discretion.
  • In the event of late payment, interest will accrue at the rate of 2% per month.

5.3 Currency:
All payments must be made in AED / USD / EUR, unless otherwise agreed.

6. Delivery and Risk of Loss

6.1 Delivery Terms:
Delivery terms will be agreed upon using EXW, FOB, DDP.
Delivery schedules are estimates only. Liquorem FZE shall not be liable for any delay in delivery.

6.2 Risk and Title:
Risk of loss passes to the Client upon delivery at the agreed location. Title to Products shall not pass to the Client until full payment is received by Liquorem FZE.

7. Product Inspection and Acceptance

Upon receipt of Products, the Client must inspect the shipment immediately:

  • Any claims for shortages, defects, or damages must be reported to Liquorem FZE in writing within 48 hours of delivery.
  • If no claim is made within the specified period, the Products will be deemed accepted.

8. Warranties and Disclaimer

Liquorem FZE warrants that the Products supplied conform to their specifications at the time of delivery.
Other than as set out in this clause, Liquorem FZE provides no warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted under UAE law:

  • Liquorem FZE’s liability for any claim shall not exceed the purchase price of the Products in question.
  • Liquorem FZE shall not be liable for indirect, consequential, incidental, special, or punitive damages, including loss of profit or business interruption.

10. Force Majeure

Liquorem FZE shall not be liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, government restrictions, labor disputes, pandemics, or supply chain disruptions.

11. Confidentiality

The Client agrees to maintain the confidentiality of all non-public, proprietary information obtained through the relationship with Liquorem FZE and not disclose it to third parties without prior written consent.

12. Termination

Liquorem FZE reserves the right to terminate any sale or suspend further deliveries immediately if:

  • The Client breaches any material provision of these Terms.
  • The Client becomes insolvent or enters liquidation proceedings.

Upon termination, all outstanding payments become immediately due and payable.

13. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Disputes shall be resolved:

  • Preferably by amicable settlement.
  • Failing which, exclusively through the courts of Dubai Courts or Abu Dhabi Judicial Department.

Alternatively, the parties may agree in writing to resolve disputes through arbitration in accordance with DIAC Rules.

14. General Provisions

  • No Waiver: Failure to enforce any right shall not constitute a waiver.
  • Severability: If any provision is found invalid, the remaining provisions shall remain in full force and effect.
  • Entire Agreement: These Terms constitute the entire agreement between the parties and supersede all prior agreements or communications.
